Please read these terms carefully before using services provided by ULTRA AGENT LIMITED (Registration No. 0105569026818).

1. Acceptance of Terms

By accessing and using ULTRA AGENT services, you agree to be bound by these Terms of Service, our Privacy Policy, and our Data Deletion Policy. If you do not agree to any of these terms, please do not use our services.

2. Service Description

ULTRA AGENT provides AI-powered auto-reply and customer messaging services for Facebook Pages. Our platform receives messages from your connected Facebook Pages, processes them using AI, and suggests or sends automated responses based on your business knowledge base. We offer various subscription plans with different feature sets and usage limits.

3. User Responsibilities

You are responsible for: maintaining the security of your account credentials, reviewing AI-suggested responses for accuracy before enabling auto-send, ensuring your use of our service complies with Facebook/Meta Platform Policies, providing accurate and lawful business information for AI training, and ensuring you have proper authorization to connect Facebook Pages to our service.

4. AI-Generated Content

AI-generated responses are suggestions based on your business knowledge base. In auto-reply mode, messages are sent automatically but are always based on data you have provided and approved. ULTRA AGENT is not liable for the content of messages generated from your training data. You retain full control to review, edit, pause, or disable auto-reply at any time.

5. Facebook / Meta Platform Compliance

By using our service, you agree to comply with Meta Platform Terms (https://developers.facebook.com/terms/) and Meta's Developer Policies. You must be an authorized administrator of any Facebook Page you connect to our service. You agree not to use our service to send spam, misleading content, or any content that violates Meta's Community Standards.

6. Payment & Billing

Paid plans are billed monthly or annually as selected at purchase. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Refunds are available within 14 days of initial purchase. We reserve the right to change pricing with 30 days advance written notice.

7. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Service may be temporarily unavailable due to scheduled maintenance (announced in advance), emergency security patches, or circumstances beyond our control including Facebook API outages.

8. Account Termination & Data Deletion

You may terminate your account at any time through our platform or by contacting support. Upon termination: (a) your subscription is cancelled, (b) your connected Facebook Pages are disconnected, (c) your account data and conversation history are permanently deleted within 30 days, and (d) transaction records are retained for 5 years as required by Thai law. You may also request immediate data deletion at https://www.ultraagent.app/data-deletion.

9. Limitation of Liability

To the maximum extent permitted by law, ULTRA AGENT LIMITED's total liability for any claims arising from or related to our service is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Thailand.
